Introduction
This website is published by MEK STUDIO®. Throughout these T&Cs, ‘MEK STUDIO®’ or ‘MEK’ refers to us, and ‘the Client’ refers to you.
Please take time to read and understand these Terms and Conditions before starting any work with us. We may need to update these from time to time without notice. We recommend checking this page regularly for any changes. If anything is unclear, please ask us to clarify.
Commencement of Work
By agreeing to work with MEK STUDIO®, submitting a creative brief, signing a Statement of Work (SOW), and paying the required deposit payment, you’re agreeing to these Terms and Conditions.
Payment Terms
Payment structures, milestones, and fee arrangements are outlined in the Client’s approved proposal or Statement of Work.
Once MEK has commenced research, allocated resources, or begun creative or strategic work, any commencement payments are non-refundable.
If a project is paused, cancelled, or terminated after work has begun, the Client agrees to pay for all work completed and expenses incurred up to the date of termination, as outlined in the SOW.
Invoices must be paid within the payment timeframe stated in the invoice unless otherwise agreed in writing. MEK reserves the right to apply administrative or late payment fees and to suspend services where invoices remain unpaid.
Portfolio & Case Studies
The Client agrees to allow MEK to showcase the work as part of but not limited to: our portfolio, case studies, social media, press releases, and promotional materials. We understand some projects are confidential and we’ll only share work once it’s been publicly launched. If you need work kept confidential, let us know in writing before we start your project.
Force Majeure
We’re not liable for delays or failures caused by situations outside our control, including war, natural disasters, strikes, government restrictions, power outages, hosting provider failures, or other events that prevent us from delivering services.
Fees for Service
The fees for MEK services are outlined in the approved proposal or SOW. If the scope of work changes, additional fees may apply. MEK will notify the Client and obtain written approval before proceeding with additional work.
Scope Changes & Additional Work
Additional work includes anything beyond what’s outlined in the approved proposal or SOW, or changes requested after sign-off. MEK includes two revision rounds within the project scope. Any revisions outside this scope will incur additional fees.
Work cannot be published or released until all outstanding invoices are paid in full.
Liability
All work and materials we provide are free and clear of liens and can be lawfully used by the Client without infringing on third-party rights.
MEK will indemnify and hold the Client harmless from claims related to MEK services, except where claims arise from Client negligence or misuse of materials.
MEK is not liable for indirect or consequential losses, including profit loss or business opportunity. MEK’s liability is limited to the direct cost of correcting the services provided.
Approval of Final Artwork
The Client is responsible for reviewing and approving all deliverables before production, launch, or publication. MEK is not responsible for errors once final approval has been provided.
. Print Production
MEK is not responsible for errors identified after Client approval and production has commenced. Reprints or reproduction requests will be treated as new scope.
Colour variations may occur between digital displays, proofs, and final printed materials. This is a normal limitation of production processes. MEK is not liable for such variations.
11. Copyright
MEK retains ownership of all concepts, artwork, and materials until full payment has been received. Upon final payment, ownership of approved final deliverables transfers to the Client unless otherwise stated in the proposal or SOW.
Unused concepts remain the property of MEK. MEK retains the right to use completed work for promotional purposes unless confidentiality has been agreed in writing as per Clause 4.
MEK may utilise licensed resources including stock imagery, fonts, and third-party assets as part of its design process. Any licensing requirements will be communicated to the Client where relevant.
12. Goodwill
Both parties agree to act in good faith regarding project timelines, scope, and resource allocation.
13. File Management
MEK may retain project files for a limited period following project completion. Requests for file retrieval, duplication, or alternative delivery formats may incur admin fees as outlined in the SOW.
14. Credits
The Client agrees to allow MEK to credit and link to work created for relevant projects including but not limited to websites.
15. Termination
If the Client terminates a project after commencement, they agree to pay for all work completed and expenses incurred to date. If MEK terminates a project due to unforeseen circumstances, any unused project fees will be refunded.
Upon termination, ownership of all unpaid work remains with MEK.
16. Content
If the Client provides content for their project, they confirm they own the content or have permission to use or share it. By submitting content, the Client grants MEK a perpetual, royalty-free licence to use and distribute that content for promotional or educational purposes unless otherwise agreed in writing.
17. Post-Project Changes
The Client may request revisions within the timeframe specified in the SOW. Additional revisions outside this period or scope will incur additional fees.
18. Confidentiality
MEK will not disclose confidential Client information during or after the project except as required to deliver services or where written consent has been provided.
MEK contractors are bound by confidentiality and non-solicitation agreements. MEK will take appropriate action if any contractor breaches these obligations.
19. Late Payments & Default
Where accounts remain unpaid beyond agreed payment terms, MEK reserves the right to suspend services, remove hosted materials, withhold deliverables, or pursue debt recovery. The Client remains responsible for all associated recovery and legal costs where applicable.
20. Amendments to These T&Cs
Any amendments must be agreed in writing and signed by an authorised representative of MEK before work commences.
